Nor-Maali´s Supplier Code of Conduct

PROFESSIONAL BUSINESS RELATIONS
Nor-Maali is committed to managing and developing its business in a responsible and sustainable manner throughout the value chain. We want to be regarded as a preferred business partner and will only deal with reliable suppliers (“Supplier/s”). We expect from our Suppliers competence and continuous improvement in quality, cost control, innovation, reliability and sustainability. As a part of this it is expected that Supplier has sufficient liability insurances.

This Supplier Code of Conduct (CoC) outlines minimum standards for our suppliers in addition to applicable laws and regulations, and it forms an integral part of all contracts between the Supplier and Nor-Maali. If there are differences between the requirements of laws and regulation and this CoC, or between the Supplier’s own code of conduct and this CoC, the Supplier must adhere to whatever is stricter.

1. LEGAL AND TRADE COMPLIANCE
The Supplier shall comply with all applicable laws, sanction and export control laws and regulations, including but not limited to international trade sanctions and embargoes issued by the UN, UK, EU, or US authorities or any other authority. The Supplier is required to provide Nor-Maali upon request and without a delay with information about compliance therewith.

The Supplier is at liberty to introduce further codes of conduct with higher requirements for human rights, environmental and ethical obligations for itself and its employees. The supplier commits to inform its employees of the provisions of this CoC and the obligations that result from it and to ensure compliance therewith.

2. BUSINESS PRINCIPLES
2.1. Ethical Conduct
The Suppliers shall in all its operations and its business practices be committed to high ethical standards.
2.2. Conflict Minerals
The Supplier shall in its operations be aware of the Conflict Mineral regulations and strictly follow-up such regulations of the authorities.
2.3. Anti-corruption
Corruption and bribery in any form is forbidden, including obtaining or attempting to obtain a personal benefit or business advantage through improper or illegal means. Under no circumstances should the supplier offer or accept gifts of cash. Gifts other than cash will normally be customary if they are of minimal economic value (USD 100), marked with a company logo and clearly appropriate under the circumstances in the relevant country. No gifts or hospitality are allowed during a tendering or other decision-making process.
2.4. Competing fairly
The Supplier shall compete in a fair manner in compliance with all applicable antitrust laws and regulations and shall have standards and procedures in place to ensure that its directors and employees do not engage in any anti-competitive practices.
2.5. Compliance with anti-money laundering and privacy rules and trade sanctions
The Supplier shall comply with all applicable laws and regulations on anti-money laundering and privacy and on all applicable economic and trade sanctions.
2.6. Conflicts of Interest
The Supplier and its employees shall avoid any situation where Nor-Maali´s employee interests’ conflict or may conflict with interests of Nor-Maali and any such situations shall be reported to Nor-Maali prior to any such conflict.
2.7. Company secrets
The supplier obligates himself and its employees to safeguard trade and company secrets in connection with the business relationship to Nor-Maali. Disclosing confidential information and confidential documents to third parties without proper authorization or providing other forms of access to them is forbidden unless proper authorization has been granted or if the information is publicly available.

3. HUMAN AND LABOUR RIGHTS
The Supplier is expected to respect internationally recognized human rights, including those set out in the International Bill of Human Rights, the UN Guiding Principles of Business and Human Rights, and the principles set out in the International Labour Organization´s Declaration of Fundamental Principles and Rights at Work.

The Supplier shall treat its employees in a fair and equal manner. The Supplier shall not discriminate in the hiring, compensation, promotion, discipline, termination, or retirement of employees based on gender, gender identity, age, religion, marital status, sexual orientation, disability, social class, political opinion, or national or ethnic origin or any other characteristic that does not relate to the individual’s qualifications or the inherent requirements for the job.

The Supplier shall treat its employees with dignity and respect and shall ensure that no worker is subject to any physical, sexual, psychological, or verbal harassment, abuse or other form of intimidation.

3.1. No child or forced labour
Any form of child or forced labour is not tolerated. The legal minimum age for employment shall be strictly observed in accordance with the respective applicable legislation and the internationally applicable ILO conventions. The prohibitions and immediate measures for the elimination of the worst forms of child labour in accordance with Article 3 of ILO Convention No.182 of 17 June 1999 are observed.
3.2. Terms of Employment
The Supplier shall ensure that compensation paid to its employees (including contractors, temporary or part-time employees) complies with all applicable wage laws, and mandatory collective agreements (or similar agreements), including those related to the minimum wages, overtime hours, paid leave and mandatory benefits. Further, it shall be ensured that all employees are made aware of the key terms of their employment prior to commitment to work.

4. ENVIRONMENTAL OBLIGATIONS
The supplier shall support a precautionary approach to environmental challenges and undertake initiatives to promote greater environmental responsibility for example reducing carbon footprint and emphasizing recycling.

The supplier shall obtain, maintain and comply with all applicable environmental laws and regulations such as:

▪ Local and international legislation
▪ Restricted Substance lists (REACH)
▪ Restricted of Hazardous Substances (RoHS)

Supplier shall comply general requirements regarding the prohibition, restriction, labelling for recycling or disposal of specific substances as set by the industry standards and/ or local legislations.

The supplier shall have an appropriate, structured, and systematic approach to managing its environmental responsibilities that include, if applicable, establishing a suitable
environmental management system, preferable ISO 14001.

5. OCCUPATIONAL HEALTH AND SAFETY
The Supplier shall provide its employees with a healthy, safe and secure workplace in compliance with all laws and regulations applicable to its operations.

The Supplier shall have to have proper health systems in place to cover at least human safety, emergency preparations, exposures to dangerous chemicals, biological substances, epidemics, and pandemics.

The Supplier shall have appropriate, structured, and systematic approach to managing its health and safety responsibilities.

6. NON-COMPLIANCE, VIOLATIONS AND TERMINATION
Each Supplier shall ensure that all suppliers, subcontractors, and agents it uses to fulfill obligations or commitments to Nor-Maali to comply with the CoC or impose substantially similar obligations. Suppliers shall acknowledge that if they become aware of a violation, including its suppliers’, subcontractors’, and agents´ violations, they must report to Nor-Maali and address it. In the case of violation of this CoC or law, Nor-Maali may suspend or terminate its relationship with the supplier.

Nor-Maali Management has approved this Supplier Code of Conduct in November 2023.
